1. Agreement to Terms

These Terms of Use ("Terms") govern your access to and use of StructHelm’s websites, software, APIs, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility and Authority

You may use the Service only if:

• You are legally capable of entering a binding agreement; and
• You use the Service on behalf of yourself or an organization with proper authority.

If you use the Service for an organization, you represent that you are authorized to bind that organization to these Terms.

3. Account Registration and Security

You are responsible for:

• Providing accurate and current account information
• Maintaining the confidentiality of credentials
• All activity conducted under your account
• Promptly notifying StructHelm of unauthorized use or suspected compromise

StructHelm may require identity or account verification to maintain service security and integrity.

4. Service Description

StructHelm provides tools for property and facility management, which may include role-based dashboards and workflows, property and tenant management workflows, maintenance reporting and assignment, notifications and operational collaboration, and subscription and billing features.

Service features may evolve over time.

5. License and Permitted Use

Subject to these Terms and applicable fees, StructHelm grants you a limited, non-exclusive, non-transferable, revocable right to use the Service for lawful internal business purposes.

You must not:

• Reverse engineer, decompile, or attempt to extract source code except as permitted by law
• Use the Service to violate law or third-party rights
• Circumvent security controls or access restrictions
• Upload or distribute malicious code or harmful content
• Interfere with service performance, stability, or integrity
• Use automated scraping or unauthorized data extraction methods

6. Customer Data and Responsibilities

You retain responsibility for data you submit to the Service ("Customer Data"), including legality, quality, and rights to process that data.

You grant StructHelm the rights necessary to process Customer Data solely to provide, secure, and improve the Service in accordance with these Terms and the Privacy Policy.

7. Privacy

Use of the Service is also governed by StructHelm’s Privacy Policy.

8. Fees, Billing, and Subscription Terms

Where paid plans apply:

• Fees and billing terms are presented at purchase or plan selection
• You authorize applicable payment processing for subscription charges
• Subscription renewals, plan changes, and billing events are subject to plan terms and applicable law
• Failure to pay may result in suspension, feature restrictions, or termination

Unless otherwise stated in writing, fees are non-refundable except where required by law.

9. Third-Party Services

The Service may integrate with third-party providers (for example, payment or authentication services). StructHelm is not responsible for third-party services, availability, or policies, except as required by law.

10. Intellectual Property

StructHelm and its licensors own all rights, title, and interest in the Service, including software, content, trademarks, and related intellectual property, excluding Customer Data.

No rights are granted except those expressly stated in these Terms.

11. Service Availability and Changes

StructHelm may modify, update, or discontinue portions of the Service. We aim for reliable operation but do not guarantee uninterrupted or error-free availability.

12. Suspension and Termination

StructHelm may suspend or terminate access to the Service if:

• You breach these Terms
• Your use presents security, legal, or operational risk
• Fees remain unpaid
• Required by law or legal process

You may stop using the Service at any time. Provisions that by nature should survive termination will survive.

13. Disclaimers

To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis.

StructHelm disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, except where such disclaimers are not legally permitted.

14. Limitation of Liability

To the maximum extent permitted by law:

• StructHelm is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages
• StructHelm’s aggregate liability for claims arising out of or related to the Service is limited to the amount paid by you to StructHelm for the Service during the twelve (12) months preceding the event giving rise to liability

These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose, except where prohibited by law.

15. Indemnity

You agree to indemnify and hold harmless StructHelm, its affiliates, and personnel from claims, losses, liabilities, and costs (including reasonable legal fees) arising from your misuse of the Service, your violation of these Terms, or your violation of applicable law or third-party rights.

16. Export, Sanctions, and Compliance

You agree to comply with applicable trade, export control, sanctions, anti-bribery, anti-money laundering, and related laws in your use of the Service.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of laws principles.

You agree that courts of competent jurisdiction in Nigeria will have exclusive jurisdiction over disputes arising from or related to these Terms and the Service, unless otherwise required by applicable law.

18. Changes to Terms

StructHelm may update these Terms from time to time. Updated Terms become effective when posted with a revised "Last Updated" date unless stated otherwise.

Continued use of the Service after updates constitutes acceptance of the revised Terms.

19. General Provisions

• Entire Agreement: These Terms and the Privacy Policy form the entire agreement regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• No Waiver: Failure to enforce a provision is not a waiver of future enforcement.
• Assignment: You may not assign these Terms without StructHelm’s prior written consent.
